Franchise Law

The firm has significant experience in franchise law, including both the transactional aspects and litigation.  We have represented franchisors in the development of their franchise systems, franchise registration under the California Franchise Investment Law, and preparation of the Uniform Franchise Offering Circular (UFOC).

We have also counseled franchisors regarding compliance of their franchise systems with federal and state antitrust law, the termination provisions of the Franchise Relations Act and available trademark and copyright protections.

We frequently assist current and prospective franchisees in evaluating their rights under franchise agreements, including issues of non-renewal, restrictions on transfer, supply sources, hours of operation and royalty/franchise payments.  Our firm has also represented both plaintiffs and defendants in litigation regarding franchise agreements and relationships, and in litigation under industry specific statutes, such as the Petroleum Marketing Practices Act.
